Welcome to Stardawn IT (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, Stardawnit.com, and the services we provide, including but not limited to Virtual Employee services and Remote Monitoring & Management (RMM) consulting (“Services”). By using our Services, you agree to these Terms.

If you are entering into an agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Services We Provide

We provide professional IT-related services, including but not limited to:

  • Virtual Employee solutions.

  • RMM (Remote Monitoring & Management) consulting.

  • Other IT support and consulting services as agreed with clients.

Specific details, deliverables, and service levels will be defined in Service Level Agreements (SLAs) or other contracts entered into with clients.

Business-to-Business (B2B) Relationship

Our Services are provided strictly on a business-to-business (B2B) basis.

Engagement terms, responsibilities, and obligations will be outlined in signed SLAs, proposals, or contracts.

These Terms apply generally to all visitors and clients, but in the event of a conflict, the SLA or executed contract will take precedence.

Payments & Billing

  • Payment terms will be specified in the SLA or contract with each client.

  • Unless otherwise stated in writing, all invoices are due in accordance with the agreed schedule.

  • Late payments may be subject to penalties or suspension of Services.

Refund Policy

  • No refunds will be issued once Services have been delivered.

  • In limited cases, refunds, credits, or adjustments may be considered if expressly outlined in the SLA or mutual written agreement with the client.

  • Each case will be evaluated based on the contractual terms agreed before commencement of Services.

Confidentiality

We respect the confidentiality of all client data, business information, and intellectual property. Both parties agree to keep confidential information secure and not disclose it without prior written consent, except as required by law.

Client Responsibilities

By engaging our Services, clients agree to:

  • Provide accurate and timely information necessary for service delivery.

  • Maintain any infrastructure or access required for us to perform our Services.

  • Use our Services in compliance with applicable laws and regulations.

Limitation of Liability

  • While we strive to provide high-quality services, we are not liable for any indirect, incidental, or consequential damages arising from the use or inability to use our Services.

  • Our total liability in any case will not exceed the fees paid by the client for the Services in question.

Termination

  • Either party may terminate the engagement as per the terms defined in the SLA or contract.

  • Upon termination, the client will remain responsible for payment of all Services rendered up to the termination date.

Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of [Insert Applicable Jurisdiction, e.g., India].

Changes to Terms

  • We may update these Terms from time to time. Updates will be posted on this page with a revised effective date. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
